Interest on the notes will accrue from (i) the earlier of May 9, 2023 and the date of original issuance or (ii) from the most recent interest payment date to which interest has been paid, and will be payable semiannually on the interest payment dates described for each year.
If any interest payment date, maturity date or redemption date falls on a day that is not a business day, the payment will be made on the next business day with the same force and effect as if made on the relevant interest payment date, maturity date or redemption date, and no interest will accrue in respect of the delay.

Guarantees
Our obligations, including the payment of principal, premium, if any, and interest, will be fully and unconditionally guaranteed by each of the guarantors as described in the accompanying prospectus.
The guarantees will not contain any restrictions on the ability of any guarantor to (i) pay dividends or distributions on, or redeem, purchase, acquire, or make a liquidation payment with respect to, any of that guarantor’s capital stock or (ii) make any payment of principal, interest or premium, if any, on or repay, repurchase or redeem any debt securities of that guarantor.
Optional Redemption
Prior to December 15, 2028 (one (1) month prior to the maturity date of the Notes due 2029) with respect to the Notes due 2029 (the “2029 Notes Par Call Date”), prior to February 15, 2033 (three (3) months prior to the maturity date of the Notes due 2033) with respect to the Notes due 2033 (the “2033 Notes Par Call Date”), prior to November 15, 2052 (six (6) months prior to the maturity date of the Notes due 2053) with respect to the Notes due 2053 (the “2053 Notes Par Call Date”) and prior to November 15, 2063 (six (6) months prior to the maturity date of the Notes due 2064) with respect to the Notes due 2064 (the “2064 Notes Par Call Date” and, together with the 2029 Notes Par Call Date, the 2033 Notes Par Call Date and the 2053 Notes Par Call Date, each a “Par Call Date”), we may redeem such notes at our option, in whole or in part, at any time and from time to time, at a redemption price (expressed as a percentage of the principal amount and rounded to three decimal places) equal to the greater of:
(1) (a) the sum of the present values of the remaining scheduled payments of principal and interest thereon discounted to the redemption date (assuming, for this purpose, that such notes mature on the applicable Par Call Date) on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate plus 15 basis points, in the case of the Notes due 2029, 20 basis points, in the case of the Notes due 2033, 25 basis points, in the case of the Notes due 2053, and 30 basis points, in the case of the Notes due 2064, as applicable, less (b) interest accrued to the date of redemption, and
(2) 100% of the principal amount of the notes of the applicable series to be redeemed,
plus, in either case, accrued and unpaid interest thereon to the redemption date.
On or after the 2029 Notes Par Call Date, in the case of the Notes due 2029, the 2033 Notes Par Call Date, in the case of the Notes due 2033, the 2053 Notes Par Call Date, in the case of the Notes due 2053, and the 2064 Notes Par Call Date, in the case of the Notes due 2064, as applicable, we may redeem such series of notes, in whole or in part, at any time and from time to time, at a redemption price equal to 100% of the principal amount of the notes being redeemed, plus accrued and unpaid interest thereon to the redemption date.
“Treasury Rate” means, with respect to any redemption date, the yield determined by us in accordance with the following two paragraphs.
