We are offering $ million in aggregate principal amount of % notes due 2026, which we refer to as the “Notes.” The Notes will mature on December 30, 2026. We will pay interest on the Notes on March 30, June 30, September 30 and December 30 each year, beginning on March 30, 2022. We may redeem the Notes in whole or in part at any time, or from time to time on or after December , 2023, at the redemption price of par, plus accrued interest, as discussed under the caption “Description of the Notes — Optional Redemption” in this Prospectus Supplement. The Notes will be issued in minimum denominations of $25.00 and integral multiples of $25.00 in excess thereof.
The Notes will be our direct unsecured obligations and, upon issuance, rank pari passu to all outstanding and future unsecured unsubordinated indebtedness issued by us, including $23,663,000 aggregate principal amount of 7.125% unsecured notes due June 30, 2024, the $34,500,000 aggregate principal amount of 6.875% unsecured notes due December 30, 2024 and $56,363,750 aggregate principal amount of 7.75% unsecured notes due September 30, 2025 plus accrued interest, and our general liabilities, which were approximately $0.2 million as of September 30, 2021. The Notes are not secured by any of our assets; as such, they are effectively subordinated to all our existing and future secured indebtedness (including indebtedness that is initially unsecured to which we subsequently grant security), to the extent of the value of the assets securing such indebtedness. The repayment of the Notes is not guaranteed. In any liquidation, dissolution, bankruptcy or other similar proceeding, the holders of any of our existing or future secured indebtedness may assert rights against the assets pledged to secure that indebtedness in order to receive full payment of their indebtedness before the assets may be used to pay other creditors, including the holders of the Notes.
The Notes are effectively subordinate to the outstanding balance under our margin loan account with Wells Fargo, which bears interest at 1.75% below the prime rate (the “Wells Fargo Margin Loan Account”) and the outstanding balance under our $200 million facility with Churchill MRA Funding I LLC (the “Churchill Facility”). The cost of capital under the Churchill Facility is equal to the sum of (a) the greater of (i) 0.25% and (ii) the 30-dayLIBOR plus (b) 3%- 4%, depending on the aggregate principal amount of the loans held by Churchill at that time. As of the date of this prospectus, the outstanding principal balance under the Wells Fargo Margin Loan Account is approximately $33.1 million and under the Churchill Facility is approximately $19.1 million.
We intend to list the Notes on the NYSE American under the trading symbol “SCCD,” and we expect trading to commence within 30 days of the original issue date. The Notes are expected to trade “flat.” This means that purchasers will not pay, and sellers will not receive, any accrued and unpaid interest on the Notes that is not included in the trading price. Currently, there is no public market for the Notes and there can be no assurance that one will develop.
