Item 8.01 Other Events.
On September 14, 2023, GXO Logistics, Inc., a Delaware corporation (“GXO”), issued a press release announcing the entry into an Agreement and Plan of Merger pursuant to which GXO, through a subsidiary, will commence a tender offer to acquire all of the outstanding shares of common stock, par value $0.001 per share, of PFSweb, Inc., a Delaware corporation (“PFSweb”), at a price per share of $7.50, in cash, without interest and less any applicable withholding taxes. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
