Our Company
We are a newly organized, blank check company formed as a Delaware corporation for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target, and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. While we may pursue an acquisition opportunity in any business industry or sector, we intend to capitalize on our management team’s significant knowledge of the healthcare landscape and proven ability to source, acquire and manage a business in the healthcare industry, specifically home and community based healthcare services (“HCBS”), which may include home health, personal and private duty care, home-based therapy, adult day care, medical transportation, pediatric health, facility based community services, healthcare information technology and software services, care management, behavioral health, staffing, medical devices, and health and wellness programs, among others. Our management team has an extensive track record of creating value for stockholders by acquiring strong businesses at disciplined valuations, investing in growth while fostering financial discipline, and ultimately improving financial results. Our strategy will be to identify, acquire and, after our initial business combination, build a healthcare or healthcare-related business. Investment opportunities will be sourced through the team’s extensive network, built over decades of investing in, operating and growing healthcare businesses. We will implement an investment process that focuses on accessing differentiated opportunities through our deep relationships with executives, advisors and intermediaries to enhance the growth potential and value of a target business and provide opportunities for an attractive return to our stockholders.
We believe our management team has the skills and experience to identify, evaluate and consummate a business combination and is positioned to assist any business we acquire. However, our management team’s network and investing and operating experience do not guarantee a successful initial business combination. The members of our management team are not required to devote any significant amount of time to our business and are concurrently involved with other business endeavors. There is no guarantee that our current officers, directors and advisors will continue in their respective roles, or in any other role, after our initial business combination, and their expertise may only be of benefit to us until our initial business combination is completed. Past performance by our management team is not a guarantee of success with respect to any business combination we may consummate or that we will be able to locate a suitable candidate for our initial business combination.

Through our collective access to contacts and relationships, ranging from owners of private and public companies, private equity and venture capital funds, investment bankers, attorneys, accountants and business brokers, we believe we are well-positioned to take advantage of the growing number of acquisition opportunities to consummate an attractive transaction for our stockholders and to execute upon various value-creation initiatives after successful completion of our business combination.
Executive Officers
Mark Heaney, our Chief Executive Officer and Executive Chairman, has over 40 years of experience in the delivery of in-home care, including personal care, home-health care, pediatric home care, adult day services, group homes, and home-based mobile services and home-health coding.
