To All ONEOK and Magellan Employees:
We’re pleased to share with you that we’ve received positive news from two significant proxy advisory services – Glass Lewis and Institutional Shareholder Services (ISS) – announcing their recommendation that Magellan unitholders and ONEOK shareholders vote “FOR” the merger between Magellan and ONEOK. Yesterday’s announcement achieves another significant milestone as we move ahead to our respective unitholder and shareholder meetings on September 21.
To effectively deliver on the opportunities we see ahead as a new organization will require a forward-focused workforce. We expect to announce our new executive management and officer team structure for the combined company early next week. Employees should anticipate that, beyond these soon-to-be announced officer-level changes and associated reporting relationships, employees’ roles will remain unchanged prior to and at Day 1.
This is consistent with our disciplined and intentional approach to bringing our two companies together by first stabilizing the organization and then continuing our work toward integration and then ultimately moving to transformation. It’s in these last two phases where we anticipate the organization and structure will naturally continue to evolve.
