Item 8.01 Other Events
On November 4, 2024, Centrus Energy Corp. (the “Company”) issued a press release announcing its intention to offer $350 million aggregate principal amount of convertible senior notes due 2030 (the “Notes”) in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also expects to grant the initial purchasers of the Notes an option to purchase up to an additional $52.5 million aggregate principal amount of Notes within a 13-day period beginning on, and including, the initial closing date.
Neither the Notes nor any shares of the Company’s Class A common stock issuable upon conversion of the Notes, if any, have been or are expected to be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
