Item 7.01 Regulation FD Disclosure
Novanta Inc. (the “Company”) is aware of media reports indicating the closure of Silicon Valley Bank (“SVB”) and appointment of the Federal Deposit Insurance Corporation as receiver. SVB is one of seven lenders under Novanta’s Third Amended and Restated Credit Agreement, as amended (“Credit Agreement”).
The SVB’s lending commitment is approximately 10% of the total $695 million commitment under the Credit Agreement.
The Company’s current balance of cash and cash equivalents with SVB is less than $400,000.
A copy of the Credit Agreement is filed as Exhibit 10.1 to the Company's Form 8-K filed with the Securities and Exchange Commission (“SEC”) on January 3, 2020 and subsequent amendments to the Credit Agreement are filed as Exhibit 10.1 to Form 8-K filed with the SEC on March 31, 2020, Exhibit 10.1 to Form 10-Q filed with the SEC on August 6, 2020, Exhibit 10.1 to Form 10-Q filed with the SEC on November 9, 2021, Exhibit 10.1 to Form 8-K filed with the SEC on October 7, 2021, and Exhibit 10.1 to Form 8-K filed with the SEC on March 15, 2022.
