At its regularly scheduled meeting on August 28, 2023, the Board of Directors (the “Board”) of The York Water Company (the “Company”) appointed Mr. Douglas S. Brossman as a new director to the Board, effective September 1, 2023. Mr. Brossman is currently a director and Vice Chair of Burnham Holdings, Inc. where he previously served as the Chief Executive Officer, and also a director of High Industries, Inc. and High Real Estate Group, LLC. He was appointed to a class of directors with terms expiring at the 2024 Annual Meeting of Shareholders. Mr. Brossman will also be assigned to the Board’s Compensation Committee. There is no arrangement or understanding between Mr. Brossman and any other person pursuant to which he was appointed as a director of the Company. Additionally, there is no transaction between Mr. Brossman and the Company that would require disclosure under Item 404(a) of Regulation S-K.
