The York Water Company (the “Company”) has appointed Ashley M. Grimm, Esq., SHRM-SCP, age 41, to the officer position of Vice President of Human Resources and Secretary effective April 8, 2024. Prior to joining the Company, Ms. Grimm was the Director, Office of Human Resources and Office of Budget and Financial Management for the Pennsylvania Department of the Auditor General from March 2021 to the present, Counsel and Director of Human Resources and Financial Management for the Pennsylvania House of Representatives from February 2018 to March 2021, Senior Counsel and Ethics Officer for the Pennsylvania House of Representatives from April 2013 to February 2018, Managing Attorney and Interim Executive Director for the Pennsylvania Immigration Resource Center from April 2011 to April 2013, and Of Counsel for CGA Law Firm, Murphy Law Firm, and Shumaker Williams, P.C. from October 2010 to March 2018.
As an officer of the Company, Ms. Grimm will be eligible for a supplemental retirement agreement and a change in control agreement with benefits, terms and conditions similar to those of the other Named Executive Officers (with the exception of the President and CEO) which are described in the Company’s proxy statement filed on March 17, 2023 in the “Compensation of Directors and Executive Officers” section. The Company intends to file a copy of Ms. Grimm’s agreements as exhibits to the Company’s next regularly scheduled quarterly report on Form 10-K or Form 10-Q to be filed with the U.S. Securities and Exchange Commission after approval by the Compensation Committee of the Board of Directors.
There are no arrangements or understandings between Ms. Grimm and any other person pursuant to which Ms. Grimm was selected as an officer, and there are and have been no transactions since the beginning of the Company’s last fiscal year, or currently proposed, regarding Ms. Grimm that is required to be disclosed by Item 404(a) of Regulation S-K.
