Item 2.02 Results of Operations and Financial Condition.
On February 28, 2024, Salesforce, Inc. (the “Company”) issued a press release announcing its results for the fiscal quarter and fiscal year ended January 31, 2024. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K and is incorporated by reference herein.

Item 8.01 Other Events.
On February 28, 2024, the Company announced a cash dividend of $0.40 per share of the Company’s outstanding common stock, payable on April 11, 2024 to stockholders of record as of the close of business on March 14, 2024.
The Company’s Board of Directors previously authorized a program to repurchase the Company’s common stock (the “Share Repurchase Program”). The Share Repurchase Program commenced in August 2022, does not have a fixed expiration date and does not obligate the Company to acquire any specific number of shares. As of January 31, 2024, approximately $8.0 billion remained available and authorized for repurchase under the Share Repurchase Program. On February 28, 2024, the Company announced an increase of $10.0 billion in the amount authorized for repurchases under the Share Repurchase Program. Under the Share Repurchase Program, shares of common stock may be repurchased using a variety of methods, including privately negotiated and/or open market transactions, including under plans complying with Rule 10b5-1 under the Exchange Act, as part of accelerated share repurchases and other methods. The timing, manner, price and amount of any repurchases are determined by the Company in its discretion and depend on a variety of factors, including legal requirements, price and economic and market conditions.
