Item 8.01 Other Events
On October 28, 2024 (the “Effective Date”), Marcus Lemonis, Executive Chairman of the Board of Beyond, Inc. (the “Company”), entered into a Stock Purchase Agreement with the Company pursuant to which Mr. Lemonis agreed to purchase 71,428 shares of common stock from the Company at a price of $7.00 per share, representing the Company’s closing stock price on the Effective Date. The stock purchase is expected to close on or about October 29, 2024, subject to customary closing conditions.
