We are offering US$ aggregate principal amount of % notes due 20 (the “notes”). We are a wholly-owned subsidiary of Canadian Pacific Railway Limited (“CPRL”). CPRL will fully and unconditionally guarantee the notes on an unsecured basis.
The notes will bear interest at the fixed rate of % per year. We will pay interest on the notes semi-annually in arrears on and of each year, beginning , 2020. The notes will mature on , 20 . We may redeem some or all of the notes at any time, at the applicable redemption price as described in this prospectus supplement. We may also redeem all (and not less than all) of the notes if certain changes affecting Canadian withholding taxes occur. The notes do not have the benefit of any sinking fund.
The notes and the related guarantee will be part of our and CPRL’s respective unsecured obligations and rank equally with all of our and CPRL’s existing and future unsecured and unsubordinated indebtedness.
