On December 9, 2024, Riot Platforms, Inc. (the “Company”) issued a press release announcing the pricing of its previously announced private offering of $525 million aggregate principal amount of its 0.75% convertible senior notes due 2030. The offering was upsized from the previously announced $500 million aggregate principal amount of the notes. The notes will be sold only to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also granted to the initial purchasers of the notes an option to purchase, within a three-day period beginning on, and including, the date on which the notes are first issued, up to an additional $75 million aggregate principal amount of the notes. The offering is expected to close on December 11, 2024, subject to satisfaction of customary closing conditions.
