1. Represents the grant of restricted stock units that vest in one installment on the earlier of the first anniversary of the grant date, a change in control of the Issuer, or the Reporting Person's death or disability, subject to the Reporting Person's continued service to the Issuer. Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock. |
2. Consists of (i) 34,922 shares of common stock and (ii) 22,019 unvested restricted stock units. |
3. The number of securities reported herein reflects the effects of a 1-for-10 reverse stock split effected by the Issuer on July 17, 2024, which was exempt from reporting pursuant to Rule 16a-9. |
4. Represents the number of shares required to be sold by the Reporting Person to cover tax withholding obligations in connection with the vesting of restricted stock units. These sales are mandated by the Issuer's election under its equity incentive plan to require the satisfaction of a tax withholding obligation to be funded by a "sell to cover" transaction and do not represent discretionary trades by the Reporting Person. |
