Item 8.01. Other Information.
On November 27, 2023, the board of directors of American Public Education, Inc. (the “Company”) authorized a new program to repurchase up to $10.0 million of shares of the Company’s common stock, which is in addition to the approximately $8.0 million of Common stock repurchased earlier this year. The share repurchases are subject to market conditions, applicable legal requirements, and other factors. The repurchases may be made in open market transactions or privately negotiated transactions. The authorization does not obligate the Company to acquire any shares, and repurchases may be commenced or suspended at any time based on market conditions and other factors that the Company deems appropriate.
