* The Common Shares, USD .00005 per share (the “Shares”), of Vitru Limited (the “Company”) reported herein are held by one or more private funds and separately managed accounts (together the “Accounts”) managed by Compass Group LLC (the “Adviser”). The Adviser, in its capacity as the investment manager of the Funds, has the power to vote and the power to direct the dispositions of the Shares held by the Accounts. Accordingly, for the purposes of Reg. Section 240.13d-3, the Reporting Person may be deemed to beneficially own an aggregate of 2,587,031 Shares, or 10.99% of the Company’s 23,538,503 Shares deemed issued and outstanding as disclosed in the Company’s Form 6-K, as filed with the Securities and Exchange Commission on October 25, 2021. This report shall not be deemed an admission that the Reporting Person or any of its affiliates are beneficial owners of the securities reported herein for purposes of Section 13 of the Securities Exchange Act of 1934, as amended, or for any other purpose. The Reporting Person disclaims beneficial ownership of the Shares reported herein except to the extent of the reporting person’s pecuniary interest therein.
