The 2028 notes will initially be limited to an aggregate principal amount of $1,500,000,000. The 2028 notes will bear interest from May 3, 2023, payable semi-annually on each May 15 and November 15, beginning on November 15, 2023, to the persons in whose names the 2028 notes are registered at the close of business on each May 1 and November 1, as the case may be (whether or not a business day), immediately preceding such May 15 and November 15. The 2028 notes will mature on May 15, 2028.
The 2030 notes will initially be limited to an aggregate principal amount of $1,000,000,000. The 2030 notes will bear interest from May 3, 2023, payable semi-annually on each May 15 and November 15, beginning on November 15, 2023, to the persons in whose names the 2030 notes are registered at the close of business on each May 1 and November 1, as the case may be (whether or not a business day), immediately preceding such May 15 and November 15. The 2030 notes will mature on May 15, 2030.
The 2033 notes will initially be limited to an aggregate principal amount of $1,750,000,000. The 2033 notes will bear interest from May 3, 2023, payable semi-annually on each May 15 and November 15, beginning on November 15, 2023, to the persons in whose names the 2033 notes are registered at the close of business on each May 1 and November 1, as the case may be (whether or not a business day), immediately preceding such May 15 and November 15. The 2053 notes will bear interest from May 3, 2023, payable semi-annually on each May 15 and November 15, beginning on November 15, 2023, to the persons in whose names the 2053 notes are registered at the close of business on each May 1 and November 1, as the case may be (whether or not a business day), immediately preceding such May 15 and November 15. The 2053 notes will mature on May 15, 2053.
The 2063 notes will initially be limited to an aggregate principal amount of $1,750,000,000. The 2063 notes will bear interest from May 3, 2023, payable semi-annually on each May 15 and November 15, beginning on November 15, 2023, to the persons in whose names the 2063 notes are registered at the close of business on each May 1 and November 1, as the case may be (whether or not a business day), immediately preceding such May 15 and November 15. The 2063 notes will mature on May 15, 2063.
Each series of notes will be issued under an indenture dated as of August 9, 2022, between us and U.S. Bank Trust Company, National Association, as trustee, as supplemented by one or more supplemental indentures or officer’s certificates setting forth the final terms of the notes of each series (together, the “indenture”). The indenture is more fully described in the accompanying prospectus.
The notes are not subject to any sinking fund.
The indenture does not limit our ability to incur additional indebtedness, including indebtedness that is secured, senior to or equal in right of payment to the notes, and we may issue additional debt securities under the indenture from time to time in one or more series.
