Item 1.01 Entry into a Material Definitive Agreement.
On December 31, 2021, Montana Renewables, LLC (“MRL”), a wholly owned subsidiary of Calumet Specialty Products Partners, L.P. (the “Partnership”), entered into a Master Lease Agreement (the “Lease Agreement”) and an Interim Funding Agreement (the “Funding Agreement”) with Stonebriar Commercial Finance LLC (“Stonebriar”) for $50.0 million related to financing of certain equipment for the construction of a new renewable hydrogen plant. The Lease Agreement has a ten-year term. The Lease Agreement and Funding Agreement each contain usual and customary representations and warranties.
The foregoing description of the Lease Agreement and the Funding Agreement do not purport to be complete and are qualified in their entirety by reference to the full text of the Lease Agreement and the Funding Agreement, copies of which are filed as Exhibit 10.1 and 10.2, respectively, to this report and are incorporated herein by reference.

Item 7.01 Regulation FD Disclosure.
On January 4, 2022, the Partnership issued a press release announcing the consummation of the Sale and Leaseback Transaction. A copy of the press release is included as Exhibit 99.1 hereto and incorporated by reference herein.
