Explanation of Responses:

1. On December 26, 2019, the Issuer and Reporting Person entered into a Restricted Stock Purchase Agreement pursuant to which the Reporting Person purchased from the Issuer an aggregate of 718,403 restricted shares of common stock (the "Shares") at $0.01186 per share in consideration of an aggregate purchase price of $8,520.26. 239,467 of the Shares vested on December 26, 2019 and the remaining 478,936 Shares shall vest in 12 quarterly installments of 39,911 Shares thereafter.

2. Represents December 2019 Form 3 holdings not reported on Form 3.
