Aircastle Announces Pricing of $500 Million Aggregate Principal
Amount of 5.750% Senior Notes Due 2031
STAMFORD, Conn., July 15, 2024 /PRNewswire/ — Aircastle Limited (“Aircastle”) announced today that it and its wholly-owned subsidiary, Aircastle (Ireland) Designated Activity Company (together with Aircastle, the “Issuers”), priced $500 million aggregate principal amount of 5.750% Senior Notes due 2031 (the “Notes”) at an issue price of 99.640%. The Issuers plan to use the net proceeds of the offering for general corporate purposes, which may include the acquisition of aircraft, as well as refinancing a portion of Aircastle’s existing indebtedness. The offering is expected to close on July 18, 2024, subject to the satisfaction of customary closing conditions.
The Notes were offered in the United States to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act. The Notes have not been and will not be registered under the Securities Act and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
