Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 8, 2021, the Board of Directors of TE Connectivity Ltd. (the “Company”), in accordance with the Company’s Board Governance Principles, accepted the resignation of David Kerko from the Board of Directors of the Company following Mr. Kerko’s change in employment status, such resignation to be effective February 16, 2021. Accordingly, Mr. Kerko will not stand for re-election as a director of the Company at the Annual General Meeting of Shareholders to be held on March 10, 2021. Mr. Kerko’s decision to resign and not to stand for re-election was not based on any disagreement with the Company.
