Explanation of Responses:

1. 1,363,638 out of the 4,309,710 Shares of Series B-1 Preferred are held in escrow.

2. Each share of Series B-1 Preferred Stock shall be convertible, at the option of the holder, at a rate of eleven (11) shares of Common Stock for each share of Series B-1 Preferred Stock, and holders of the Series B-1 Preferred Stock shall be entitled to 3.2 times the number of votes on all matters submitted to the shareholders, that is equal to the number of shares of Common Stock into which such holder's shares of Series B-1 Preferred Stock are convertible.
