| Item 1.02 | Termination of a Material Definitive Agreement |
On February 1, 2019, the Company entered into an Employment Agreement with Matthew Willer ("Mr. Willer"). On October 7, 2019, Mr. Willer resigned and his position with the Company and his Employment Agreement was terminated by mutual consent of the parties.

On October 7, 2019, Matthew Willer resigned as the Company’s President.
