Item 7.01 | Regulation FD Disclosure. |
On November 12, 2024, representatives of Invesco Mortgage Capital Inc. (the “Company”) will meet with investors at The Citizens JMP Financial Services Conference and discuss previously disclosed financial results and information for the third quarter of 2024. The Company hereby furnishes the information set forth in the investor materials (the “Materials”) attached hereto as Exhibit 99.1, which is incorporated herein by reference. The representatives of the Company intend to use the Materials, in whole or in part, in one or more meetings with investors.
The Materials are being furnished pursuant to this Item 7.01, and the information contained therein shall not be deemed “filed” for any purpose, including for the purpose of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section, and shall not be deemed to be incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
Given recent market developments and forthcoming meetings with investors, the Company is providing the following update on its book value per common share.
As of November 7, 2024, the Company's book value per common share is estimated to be in the range of $8.98 to $9.34.(1)(2)
(1)Book value per common share as of November 7, 2024 is adjusted to exclude a pro rata portion of the current quarter’s common stock dividend (which for purposes of this calculation is assumed to be the same as the previous quarter) and is calculated as total stockholders' equity less the liquidation preference of the Company's Series B Preferred Stock and Series C Preferred Stock ($106.2 million and $181.0 million as of November 7, 2024, respectively), divided by total common shares outstanding of 60.7 million.
(2)On November 4, 2024, the Company declared dividends on its Series B and Series C Preferred Stock to be paid on December 27, 2024. Book value per common share as of November 7, 2024 is adjusted to exclude only a pro rata portion of these dividends attributable to the period from September 27, 2024, the last Series B and Series C Preferred Stock dividend payment date, to November 7, 2024.
