On November 17, 2023, Abcam plc (the “Company”) issued a press release (the “Announcement”) announcing that all identified anti-trust clearances required in connection with the Company’s previously announced acquisition by Danaher Corporation (“Danaher”), to be implemented by means of a scheme of arrangement under the laws of England and Wales, have been obtained. The Court Hearing at which the High Court of Justice of England and Wales (the “Court”) will be asked to sanction the Scheme has been scheduled to be held on December 4, 2023. Subject to the sanction of the Scheme by the Court and the satisfaction of the other remaining conditions, the Transaction is expected to close on December 6, 2023 upon the Scheme becoming effective.
