Item 7.01 Regulation FD Disclosure.
On August 11, 2021, CommScope Holding Company, Inc. (the “Company”) issued a press release announcing that CommScope, Inc., a Delaware corporation and a direct subsidiary of the Company (the “Issuer”), intends to offer $1,250 million in aggregate principal amount of senior secured notes due 2029 (the “Notes”) in a private placement (the “Offering”) exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), subject to market conditions.
To the extent the Issuer elects to proceed with the Offering, the Issuer currently intends to use the net proceeds from the Offering, together with cash on hand, to redeem and retire all of its 5.500% senior secured notes due 2024 (the “2024 Notes”) and to pay fees and expenses related to the foregoing.
