As of the date hereof, our authorized capital stock consists of 510,000,000 shares, of which 500,000,000 shares are common stock, par value $0.01 per share, and 10,000,000 shares are preferred stock, par value $0.01 per share. As of June 30, 2021, there were 74,751,699 shares of common stock issued and outstanding, and no shares of preferred stock issued and outstanding.

Common Stock
The holders of our common stock are entitled to one vote for each share on all matters submitted to a vote of shareowners. Preferred Stock

There are no preferred shares issued and outstanding as of the date of this prospectus.
