Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
In response to a letter received on May 16, 2024 (the “Letter”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”), Nexalin Technology, Inc. (the “Company”) is preparing a plan to regain compliance (the “Compliance Plan”) with Nasdaq Listing Rule 5550(b)(1), which, if accepted by NASDAQ, can result in a 180 day extension to regain compliance, during which time the Company’s common stock will continue to be listed.
The Letter notified the Company that it is not currently in compliance with the requirement of maintaining minimum stockholders’ equity of at least $2,500,000 for continued inclusion on The Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(b)(1) (the “Stockholders’ Equity Requirement”). In the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2024, the Company reported stockholders’ equity of $2,326,987. The Letter has no immediate effect on the listing of the Company’s common stock, and its common stock will continue to trade on The Nasdaq Capital Market under the symbol “NXL” at this time.
In accordance with Nasdaq rules, the Company has 45 calendar days, or until July 1, 2024, to submit the Compliance Plan. If the Compliance Plan is accepted, Nasdaq can grant an extension of up to 180 calendar days from the date of the Letter for the Company to evidence compliance. There can be no assurance that the Company will be able to regain compliance with the Stockholders’ Equity Requirement or will otherwise be in compliance with other Nasdaq Listing Rules.
