The Board of Directors recommends you vote FOR proposals 1 through 4: 1. To amend and restate our Amended and Restated Certificate of Incorporation (Charter) to declassify the Board of Directors over the next three years such that all directors will stand for election on an annual basis beginning with the 2022 Annual Meeting of Stockholders. The Board of Directors recommends you vote FOR proposals 6 and 7: 6. To amend and restate our 2015 Omnibus Incentive Plan to, among other things, increase the number of shares authorized for issuance by 7 million shares and extend the term of our plan through the tenth anniversary of the date of such amendment and restatement. 2. To amend and restate our Charter to eliminate the supermajority voting requirements relating to: 2a. Amendments to the Charter and Bylaws; and 7. Ratification of appointment of PricewaterhouseCoopers LLP as TransUnion's independent registered public accounting firm for the fiscal year ending December 31, 2020. 2b. Removal of directors. 3. To amend and restate our Charter to remove the corporate opportunity waiver provisions of the Charter. NOTE: Such other business as may properly come before the meeting or any adjournment thereof. 4.
