Item 5.07 Submission of Matters to a Vote of Security Holders.
On December 12, 2024, Stitch Fix, Inc. (the “Company”) held its 2024 Annual Meeting of Stockholders (the “Annual Meeting”) via live audio webcast at www.virtualshareholdermeeting.com/SFIX2024. At the Annual Meeting, the Company’s stockholders voted on four proposals, each of which is described in more detail in the Company’s definitive proxy statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on October 30, 2024 (the “Proxy Statement”). The following is a brief description of each matter voted upon and the number of votes cast for and against each matter and, if applicable, the number of abstentions and broker non-votes with respect to each matter.
Proposal 1. Stockholders elected each of the three nominees for Class I directors to serve until the Company’s 2027 Annual Meeting of Stockholders or until her respective successor has been duly elected and qualified. The voting results were as follows:

Based on these voting results, and the recommendation of the Board of Directors of the Company included in the Proxy Statement, the Company has determined to hold a non-binding stockholder advisory vote on named executive officer compensation every one year until the next required vote on the frequency of advisory votes on named executive officer compensation.
