Explanatory Note:
* | On March 19, 2021, Oaktree Specialty Lending Corporation, a Delaware corporation (“OCSL”), completed its previously announced acquisition of Oaktree Strategic Income Corporation, a Delaware corporation (the “Company”), pursuant to that certain Agreement and Plan of Merger (the “Merger Agreement”), dated as of October 28, 2020, by and among the Company, OCSL, Lion Merger Sub, Inc., a Delaware corporation and a direct wholly owned subsidiary of OCSL (“Merger Sub”), and Oaktree Fund Advisors, LLC, a Delaware limited liability company. Pursuant to the Merger Agreement, Merger Sub was merged with and into the Company, with the Company continuing as the surviving corporation and a direct wholly owned subsidiary of OCSL (the “First Merger”). Immediately following the First Merger, the Company was merged with and into OCSL, with OCSL continuing as the surviving corporation (the “Second Merger”). As a result of, and as of the effective time of, the Second Merger, the Company’s separate corporate existence ceased. |
