RumbleOn, Inc. (the “Company” or “RumbleOn”) is filing this Current Report on Form 8-K to disclose (i) the unaudited condensed combined financial statements of RideNow Group and Affiliates for the three and six months ended June 30, 2021 and June 30, 2020, (ii) Management’s Discussion and Analysis for the RideNow Group and Affiliates for the three and six months ended June 30, 2021 compared to the three and six months ended June 30, 2020 and (iii) the unaudited pro forma condensed combined financial statements (and related notes) of RumbleOn as of June 30, 2021 and for the six months ended June 30, 2021 and the twelve months ended December 31, 2020. The unaudited pro forma condensed combined financial statements are based on the Company’s unaudited condensed consolidated financial statements and RideNow Group and Affiliates’s unaudited condensed combined financial statements as adjusted to give effect to the Company’s acquisition of RideNow and the related financing transactions. The unaudited pro forma condensed combined balance sheet as of June 30, 2021 gives effect to these transactions as if they occurred on June 30, 2021. The unaudited pro forma condensed combined statements of operations for the six months ended June 30, 2021 and the twelve months ended December 31, 2020 give effect to these transactions as if they occurred on January 1, 2020.
