Item 5.07 Submission of Matters to a Vote of Security Holders.
On November 25, 2024, Vista Outdoor Inc. (the “Company”) held a virtual special meeting of its stockholders (the “Special Meeting”) to vote on the proposals identified in the definitive proxy statement of the Company prepared in connection with the Merger Agreement (as defined below) and filed with the U.S. Securities and Exchange Commission (the “SEC”) on October 21, 2024, which was first mailed to stockholders of the Company on or about October 21, 2024.
As of the close of business on October 18, 2024, the record date for the Special Meeting, there were 58,384,322 shares of common stock, par value $0.01 per share, of the Company (“Vista Outdoor Common Stock”) issued and outstanding and entitled to vote at the Special Meeting. 84.87% of all of the shares of issued and outstanding Vista Outdoor Common Stock entitled to vote were represented either virtually or by proxy at the Special Meeting and thus a quorum was present. The tables below detail the final voting results for each proposal:
1. To adopt the Agreement and Plan of Merger, dated as of October 15, 2023 (as may be amended from time to time, the “Merger Agreement”), among the Company, Revelyst, Inc., CSG Elevate II Inc. (“Merger Sub Parent”), CSG Elevate III Inc., a wholly owned subsidiary of Merger Sub Parent (“Merger Sub”), and, solely for the purposes of specific provisions therein, CZECHOSLOVAK GROUP a.s. (“CSG”), pursuant to which, on the terms and conditions set forth therein and in accordance with the Delaware General Corporation Law, Merger Sub will merge with and into the Company with the Company surviving the merger as a wholly owned subsidiary of Merger Sub Parent (the “Merger”) (the “Merger Proposal”).
Set forth below are the voting results for the Merger Proposal, which was adopted by the Company’s stockholders:
| | | | | | | | | | | | | | | | | | | | |
Votes For | | Votes Against | | Abstentions | | Broker Non-Votes |
48,212,413 | | 1,038,530 | | 303,309 | | 0 |
2. To approve, by advisory (non-binding) vote, the compensation that may be paid or become payable to the Company’s named executive officers in connection with the consummation of the Merger (the “Advisory Compensation Proposal”).
Set forth below are the voting results for the Advisory Compensation Proposal, which was approved by the Company’s stockholders:
| | | | | | | | | | | | | | | | | | | | |
Votes For | | Votes Against | | Abstentions | | Broker Non-Votes |
47,187,589 | | 2,119,980 | | 246,683 | | 0 |
3. To approve adjournments of the Special Meeting (i) to the extent necessary to ensure that any required supplement or amendment to the proxy statement/prospectus is provided to the Company stockholders within a reasonable amount of time in advance of the Special Meeting, (ii) to the extent required by a court of competent jurisdiction, (iii) if there are insufficient shares of common stock, par value $0.01 per share, of the Company represented to constitute a quorum necessary to conduct the business of the Special Meeting or (iv) to solicit additional proxies if there are insufficient votes at the time of the Special Meeting to approve the Merger Proposal (the “Adjournment Proposal”).
As there were sufficient votes at the time of the Special Meeting to approve the Merger Proposal, the Adjournment Proposal was unnecessary and such proposal was not submitted to the Company stockholders for approval at the Special Meeting.
