Item 1.01. Entry into a Material Definitive Agreement.
Amendment to Mylan Revolving Credit Agreement
On June 16, 2020, Mylan N.V. (the “Company” or “Mylan”) and Mylan Inc. (the “Borrower”) entered into Amendment No. 2 (the “Revolving Amendment”) to the Revolving Credit Agreement dated as of July 27, 2018, as amended by Amendment No. 1 to the Revolving Credit Agreement dated as of February 22, 2019 (as further amended by the Revolving Amendment, the “Mylan Revolving Credit Agreement”), among the Borrower, the Company, as a guarantor, certain lenders and issuing banks and Bank of America, N.A., as administrative agent. In addition to certain technical amendments that give effect to changes in banking regulations, the Revolving Amendment provides for a maximum leverage ratio of 3.75 to 1.00 for consolidated total indebtedness as of the end of any quarter to consolidated EBITDA for the trailing four quarters as defined in the Mylan Revolving Credit Agreement (“maximum leverage ratio”) through the March 31, 2020 reporting period, a maximum leverage ratio of 4.25 to 1.00 after the March 31, 2020 reporting period through the December 31, 2020 reporting period and a maximum leverage ratio of 3.75 to 1.00 thereafter. The modified maximum leverage ratio provides the Company with additional financial flexibility and also corresponds to the maximum leverage ratio under that certain (a) Revolving Credit Agreement, dated as of June 16, 2020, by and among Upjohn Inc. (“Upjohn” or “Newco”), certain lenders and issuing banks from time to time party thereto and Bank of America, N.A., as administrative agent, and (b) Delayed Draw Term Loan Credit Agreement, dated as of June 16, 2020, by and among Upjohn, Mizuho Bank, Ltd. and MUFG Bank, Ltd., as administrative agent, each containing terms and conditions substantially consistent with the corresponding provisions in the Mylan Revolving Credit Agreement. These Newco credit facilities are expected to replace the Mylan Revolving Credit Agreement upon completion of the previously announced proposed combination of Newco and Mylan.
Mylan continues to target approximately $1 billion of debt repayment during 2020 and remains fully committed to maintaining its investment grade credit rating.
