Item 5.02(e) Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective October 28, 2022, Jennifer Boyd resigned her position as Professional Holding Corp.’s (“PFHD”) Chief Accounting Officer (“CAO”). Correspondingly, effective October 28, 2022, PFHD’s Board of Directors assigned the duties of the CAO to PFHD’s Chief Financial Officer, Mary Usategui. The appointment will have no impact on Ms. Usategui’s compensation or the terms of her employment agreement.
