Item 8.01. Other Events.
As previously disclosed, on February 19, 2021, Forterra, Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Quikrete Holdings, Inc., a Delaware corporation (“Parent”), and Jordan Merger Sub, Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), pursuant to which Merger Sub will merge with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent. The consummation of the Merger is subject to the satisfaction or waiver of certain conditions, including, among others, the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), including any agreement with the U.S. Department of Justice (the “DOJ”) to delay the Merger (the “HSR Condition”).
In order to address some of the divestitures anticipated to be required by the DOJ to satisfy the HSR Condition for the consummation of the Merger and the other transactions contemplated by the Merger Agreement, on February 16, 2022, the Company announced that Hydro Conduit, LLC d/b/a Rinker Materials, a Delaware limited liability company and an affiliate of Parent (“Rinker Materials”) entered into an Asset Purchase Agreement (the “Asset Purchase Agreement”) with Oldcastle Infrastructure, Inc., a Washington corporation (“Oldcastle”).
Pursuant to the terms and subject to the conditions set forth in the Asset Purchase Agreement, contemporaneously with or shortly after the closing of the Merger and the other transactions contemplated by the Merger Agreement, Rinker will sell to Oldcastle certain assets and liabilities associated with three reinforced concrete pipe plants located in the Dallas/Fort Worth, Houston, and San Antonio metropolitan areas (the “Asset Sale”). Consummation of the Asset Sale is subject to customary closing conditions, including, among others, the consummation of the Merger and approval by the DOJ.
