Solaris Energy Infrastructure, Inc. Announces Pricing of Underwritten Public Offering of Class A Common Stock
Houston, Texas, December 10, 2024 – Solaris Energy Infrastructure, Inc. (“Solaris” or the “Company”) (NYSE: SEI) today announced the pricing of its underwritten public offering of 6,500,000 shares of its Class A common stock, par value $0.01 per share (“Class A common stock”), at a public offering price of $24.75 per share, for total net proceeds of approximately $156 million. In connection with the offering, Yorktown Energy Partners X, L.P. (“Yorktown”), a selling stockholder of the Company, has granted the underwriters the option to purchase up to an additional 975,000 shares of Class A common stock (the “Option Shares”) on the same terms and conditions within 30 days.
The offering is expected to close on December 11, 2024, subject to customary closing conditions.
The Company intends to contribute all of the net proceeds it receives from the offering to Solaris Energy Infrastructure, LLC (“Solaris LLC”) in exchange for a number of Solaris LLC membership units equal to the number of shares of Class A common stock issued in the offering. Solaris LLC will use the net proceeds to fund growth capital for additional power generation equipment, including new natural gas turbines and complementary “balance of plant” electrical equipment, to support customer activity. The Company will not receive any proceeds from the sale of the Option Shares offered by Yorktown.
Santander is acting as lead book-running manager and representative of the underwriters. Goldman Sachs & Co. LLC, Piper Sandler and Wolfe Capital Markets and Advisory are acting as book-running managers.
