FINAL AMENDMENT TO TENDER OFFER STATEMENT
This Amendment No. 2 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO filed by Carlyle Credit Solutions, Inc., a Maryland corporation (the “Company”), with the U.S. Securities and Exchange Commission (the “SEC”) on September 30, 2024 (together with Amendment No. 1 thereto filed by the Company with the SEC on October 31, 2024, the “Schedule TO”). The Schedule TO relates to the offer by the Company to purchase up to 1,841,684 shares of its common stock, par value $0.01 per share (the “Shares”), at a purchase price equal to the net asset value per Share as of September 30, 2024, upon the terms and subject to the conditions set forth in the Offer to Purchase, dated September 30, 2024 (together with any amendments or supplements thereto, the “Offer to Purchase”), and in the accompanying Letter of Transmittal (together with any amendments or supplements thereto and with the Offer to Purchase, the “Offer”), filed with the Schedule TO as Exhibits (a)(1)(ii) and (a)(1)(iii), respectively.
This Amendment is being filed by the Company to report the final results of the Offer. Capitalized terms used but not defined herein have the meanings ascribed to them in the Schedule TO.
The following information is provided pursuant to Rule 13e-4:
- The Company has received the final results of the Offer, which expired at 11:59 p.m., New York City Time, on October 28, 2024;
- The Company has accepted for purchase pursuant to the Offer approximately 569,026 Shares at a purchase price per Share equal to the net asset value per Share as of September 30, 2024;
- The number of Shares that the Company has accepted for purchase in the Offer represents approximately 1.067% of the total number of Shares outstanding as of September 30, 2024;
- Payment of the purchase price for the Shares was made in the form of non-interest bearing, non-transferrable promissory notes issued to the Stockholders whose tenders were accepted for purchase by the Company in accordance with the terms of the Offer; and
- On November 13, 2024, the Company determined that as of September 30, 2024, the net asset value per Share was $19.76 per Share, resulting in an aggregate purchase price of approximately $11,243,958 for approximately 569,026 Shares validly tendered and not withdrawn, which amount will be paid by the Company pursuant to the terms of the promissory notes.
