Item 7.01 | Regulation FD Disclosure |
On November 29, 2024, Greenbrook TMS Inc. (the “Company”) issued a press release announcing its operational and financial results for the quarter ended September 30, 2024. The press release also announced that the Company is expecting to close the previously announced plan of arrangement in accordance with the Business Corporations Act (Ontario) (the “Arrangement”), pursuant to which the Company will be acquired by Neuronetics, Inc. (“Neuronetics”), in early December 2024, or as soon as practicable thereafter. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
On November 29, 2024, the Company also released its interim report for the quarter ended September 30, 2024 (the “Interim Report”) to satisfy its ongoing disclosure obligations as a Canadian reporting issuer. The Interim Report includes the Company’s financial statements for the quarter ended September 30, 2024, which have been prepared in accordance with International Financial Reporting Standards (“IFRS”), together with Management’s Discussion and Analysis relating thereto and certifications of the Company’s Chief Executive Officer (“CEO”) and Chief Financial Officer (“CFO”), in each case, as required by Canadian securities laws. A copy of the Interim Report is furnished herewith as Exhibit 99.2 and copies of the Canadian CEO and CFO certifications are furnished herewith as Exhibits 99.3 and 99.4, respectively, and each is incorporated by reference herein.
The information contained in this Current Report on Form 8-K under Item 7.01, including the attached Exhibits 99.1, 99.2, 99.3 and 99.4, is being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. The Company expects to file a Form 15 shortly after the closing of the Arrangement, to suspend the Company’s reporting obligations under Section 15(d) of the Exchange Act, following which the Company will no longer be required to file periodic reports under the Exchange Act. As such, the Company does not expect to file its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2024.
