Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Appointment of New Director
On March 20, 2024, the board of directors (the “Board”) of Robinhood Markets, Inc. (the “Company” or "Robinhood") appointed Susan Segal to the Board, effective March 21, 2024. The Board also appointed her to serve on the Nominating and Corporate Governance Committee and the Safety, Risk and Regulatory Committee, commencing concurrently with her Board service. Ms. Segal is an independent director, with an initial term expiring at Robinhood’s 2024 annual meeting of stockholders. In connection with Ms. Segal’s appointment, the Board increased the number of directors on the Board from eight to nine.
Ms. Segal will participate in Robinhood’s Non-Employee Director Compensation Program as described under “Director Compensation” in the Company’s Proxy Statement for the 2023 Annual Meeting of Stockholders, which was filed with the Securities and Exchange Commission (“SEC”) on April 28, 2023. In addition, the Company has entered into an indemnification agreement with Ms. Segal, the form of which appears as Exhibit 10.1 to Robinhood's Amendment No. 1 to Form S-1 Registration Statement filed July 19, 2021.
There are no arrangements or understandings between Ms. Segal and any other persons pursuant to which she was selected as a director, and she has no family relationships with any of Robinhood’s directors or executive officers, and she has no direct or indirect material interest in any transaction requiring disclosure under Item 404(a) of Regulation S-K.

On March 21, 2024, Robinhood published a blog post announcing Ms. Segal’s appointment to the Board. A copy of that blog post is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
