State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR or the transition report or portion thereof, could not be filed within the prescribed time period.
Agrify Corporation (the “Company”) is unable to file its Form 10-Q for the period ended March 31, 2024 (the “Form 10-Q”) in a timely manner without unreasonable effort and expense due to unanticipated delays experienced in completing the audit of the Company’s financial statements and other disclosures in the Form 10-Q. As a result, the Company’s independent registered public accounting firm Marcum LLP (“Marcum”) is still in the process of completing its review of the financial statements for the period ended March 31, 2024 to be incorporated in the Form 10-Q and to complete its assessment of the Company’s internal control over financial reporting. The Company presently anticipates that it will file the Form 10-Q before the fifth calendar day following the prescribed due date.

The Company's anticipated significant changes in its results of operations based on its preliminary unaudited results of operations are as follows:
The Company currently anticipates revenue of approximately $2.6 million for the fiscal period ended March 31, 2024, compared to revenue of approximately $5.8 million for the fiscal period ended March 31, 2023. The decrease was primarily due to the company’s decision to not engage in any additional facility build-out TTK Solutions. The Company anticipates a net loss of approximately $38,000, compared to a net loss of approximately $10.3 million for the period ended March 31, 2023. The Company believes that its results contained herein are materially correct; however, because review is ongoing, there can be no assurance that the financial and accounting information referred to in this filing will not change upon completion of the audit and filing of the Company’s Form 10-Q.
