Item 8.01 Other Events
As previously disclosed on February 16, 2023, MP Materials Corp. (the “Company”) filed an application in the Court of Chancery of the State of Delaware pursuant to Section 205 of the Delaware General Corporation Law seeking to validate an amendment, filed with the Delaware Secretary of State on November 17, 2020 (the “Charter Amendment”), to the Company’s then-effective Amended and Restated Certificate of Incorporation dated April 29, 2020 and the shares that may be issued pursuant thereto to resolve any uncertainty with respect to those matters (the “Section 205 Action”).
On March 6, 2023, the Court of Chancery granted the Company’s application and issued an order in the Section 205 Action validating the Charter Amendment and the shares that may be issued pursuant thereto.
