This Schedule 13G is jointly filed by Nexperia B.V. (“Nexperia”) and Wingtech Technology Co. Ltd. (“Wingtech”, and together with Nexperia, the “Reporting Persons”).
The Reporting Persons have entered into a Joint Filing Agreement, dated February 25, 2020, a copy of which is filed with this Schedule 13G as Exhibit A, pursuant to which the Reporting Persons have agreed to file this statement jointly in accordance with the provisions of Rule 13d-1(k)(1) under the Act.

Wingtech owns 80% of the equity of Nexperia and may be deemed to share beneficial ownership of the shares of common stock of the Issuer of which Nexperia is the record owner.
The inclusion of the Reporting Persons and such securities in this report shall not be deemed an admission of beneficial ownership by the Reporting Persons for the purposes of Section 13(d) or 13(g) of the Act, or for any other purposes.
