EXPLANATORY NOTE
DEREGISTRATION OF SECURITIES
Each of Apartment Income REIT Corp., a Maryland corporation (the “
Corporation”), and Apartment Income REIT L.P., a Delaware limited partnership (the “
Partnership”), is filing this Post-Effective Amendment No. 1 to the Registration Statement on
Form S-3ASR (File No. 333-261445) (the “
Registration Statement”), which was filed with the Securities and Exchange Commission (the “
SEC”) on December 1, 2021.
On June 28, 2024, pursuant to the terms of the Agreement and Plan of Merger, dated as of April 7, 2024, among the Company, Apex Purchaser LLC, a Delaware limited liability company, Aries Purchaser LLC, a Delaware limited liability company, Astro Purchaser LLC, a Delaware limited liability company, and Astro Merger Sub, Inc., a Maryland corporation (the “Merger Sub”), the Merger Sub merged with and into the Company, with the Company continuing as the surviving company in the merger (the “Merger”).
As a result of the Merger, any and all offerings of securities registered pursuant to the Registration Statement have been terminated. In accordance with undertakings made by the Company and the Partnership in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities registered under the Registration Statement that remain unsold at the termination of the offering, each of the Company and the Partnership hereby removes from registration all such securities registered under the Registration Statement but unsold as of the date hereof. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such securities, and each of the Corporation and the Partnership hereby terminates the effectiveness of the Registration Statement.
