Item 8.01. Other Events.
On October 22, 2020, Helix Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 11,500,000 Class A ordinary shares, par value $0.0001 per share (the “Class A Ordinary Shares”), including the issuance of 1,500,000 shares of Class A Ordinary Shares as a result of the underwriter’s exercise in full of its over-allotment option. The Class A Ordinary Shares were sold at a price of $10.00 per share, generating gross proceeds to the Company of $115,000,000.
Simultaneously with the closing of the IPO, the Company completed the private sale (the “Private Placement”) of 430,000 Class A Ordinary Shares (the “Private Placement Shares”) at a purchase price of $10.00 per Private Placement Share, to Helix Holdings LLC, generating gross proceeds to the Company of $4,300,000.
A total of $115,000,000 comprised of the proceeds from the IPO and the sale of the Private Placement Shares, were placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee.
An audited balance sheet as of October 22, 2020, reflecting receipt of the proceeds upon consummation of the IPO and the Private Placement has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
