Item 5.02 | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers |
On May 11, 2023, Joseph M. Scharfenberger, Jr. and Richard F. Zannino, each a member of the Board of Directors (the “Board”) of Hillman Solutions Corp. (the “Company”), notified the Company of their decision to resign, effective immediately, from their positions as members of the Board and as members of the Compensation Committee of the Board.
Mr. Scharfenberger is Co-Managing Partner of CCMP Capital Advisors (“CCMP”) and Mr. Zannino is a Managing Director of CCMP. CCMP is completely exiting its investment in the Company through a secondary offering that was announced on May 10, 2023 that is expected to close on May 15, 2023. The resignation of each of Mr. Scharfenberger and Mr. Zannino is in connection with CCMP exiting its investment in the Company, and is not due to any disagreements with the Company or Board on any of its operations, policies or practices.
The press release announcing the resignation of Mr. Scharfenberger and Mr. Zannino is furnished as Exhibit 99.1 to this Current Report on Form 8-K. Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, regardless of any general incorporation language in such filing.
