Item 7.01 Regulation FD Disclosure.
Hervé Tessler, Chief Executive Officer of Noventiq Holdings PLC, a company organized under the laws of the Cyprus (“Noventiq”), and Jerry Letter, Chief Financial Officer and Chief Operating Officer of Corner Growth Acquisition Corp. (the “Company” or “CGAC”), were interviewed on a SPAC Insider podcast which was released today, Friday, July 14, 2023 (the “Podcast”). Interested parties may listen to the Podcast at https://www.spacinsider.com/news/podcasts-and-webinars. On the Podcast, Mr. Tessler and Mr. Letter discussed, among other things, the transactions contemplated by the Business Combination Agreement (as described below).
As announced on May 4, 2023, the Company entered into a business combination agreement (the “Business Combination Agreement”) by and among the Company, Noventiq and Corner Growth SPAC Merger Sub, Inc., a Cayman Islands exempted company and a direct wholly owned subsidiary of the Company (“Merger Sub”). The Business Combination Agreement provides, among other things, that on the terms and subject to the conditions set forth therein, Merger Sub will merge with and into Noventiq, with Noventiq surviving as a wholly-owned subsidiary of the Company (the “Merger”).
