Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 12, 2024, Robert Grove resigned as a member of the Board of Directors (the “Board”) of United Homes Group, Inc. (the “Company”), effective as of December 12, 2024, pursuant to the terms of a previously disclosed redemption agreement, dated December 5, 2024, by and among the Company, Conversant Opportunity Master Fund, LP and the other noteholders party thereto. Mr. Grove served as director and board representative of Conversant Opportunity Master Fund, LP, and his resignation is not a result of any disagreement with the Company or any matter relating to the Company’s operations, policies or practices. The Board approved a decrease in the size of the Board from nine to eight members, effective upon Mr. Grove’s resignation.
