Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
Iris Acquisition Corp (the “Company”) received a written notice on December 26, 2023, from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that because it no longer meets the minimum 500,000 publicly held shares requirement for The Nasdaq Capital Market, it no longer complies with Listing Rule 5550(a)(4) (the “Rule”) of Nasdaq’s Listing Rules (the “Rules”) for continued listing.
In accordance with the Rule, the Company has 45 calendar days to submit a plan to regain compliance.
The Company is evaluating various courses of action to achieve compliance with the Rule.
Item 5.07 Submission of Matters to a Vote of Security Holders.
On December 29, 2023, at the Company’s Annual Meeting of Stockholders, a total of 7,045,839 (or 96.431%) of the Company’s issued and outstanding shares of Class A common stock (“Public Shares”) held of record as of December 13, 2023, the record date for the Annual Meeting, were present either in person or by proxy, which constituted a quorum. The Company’s stockholders voted on the following proposals at the Annual Meeting, each of which were approved. The final vote tabulation for each proposal is set forth below.
Proposal 1. To re-elect Richard Peretz, Nicholas Fernandez and Manish Shah as Class I directors, each to serve until the 2025 annual meeting of stockholders, or until his successor shall have been duly elected and qualified (the “Election of Directors Proposal”).

Although this proposal would have received sufficient votes to be approved, no motion to adjourn was made because the adjournment of the Annual Meeting was determined not to be necessary or appropriate.
