Explanation of Responses:

1. Represents an award of restricted stock units granted on August 31, 2024 (the "Grant Date"), which vests in full on the second anniversary of the Grant Date, subject to the reporting person's continued service through the applicable vesting date.

2. Represents shares of Class A Common Stock which are held by The Palmisano Family, LLC pursuant to recent pro rata distributions on July 19, 2024 as to 1,115,000 shares and on July 25, 2024 as to 1,150,000 shares, and which were inadvertently omitted from the reporting person's Form 4 filed on 9/4/2024.
